Partnership Agreement for Content Integration

(Hereinafter referred to as "Acadpia")

Mindsprint – Your Current Feed App
(Hereinafter referred to as "Mindsprint")

Purpose of the Agreement

This agreement establishes a strategic partnership between Acadpia and Mindsprint to facilitate the integration and publication of content sourced from Acadpia on the Mindsprint app. This collaboration aims to provide competitive exam aspirants with concise, accurate, and relevant news summaries and current affairs.

Terms of Partnership

Content Sharing
- Acadpia agrees to provide selected news articles, editorials, and content summaries to Mindsprint.
- Mindsprint will curate, format, and publish the content on its app, ensuring it aligns with its concise and exam-focused content strategy.
Content Attribution
- All content sourced from Acadpia will include proper attribution, with a citation such as “Source: Acadpia.online” displayed on the Mindsprint app.
- Hyperlinks to the original articles on Acadpia’s website will be included when applicable.
Editorial Standards
- Both parties will ensure that the shared content adheres to high editorial standards, including accuracy, relevance, and neutrality.
- Mindsprint reserves the right to modify the length and format of the content to align with its “60-word summary” format while maintaining the core message and facts.
Revenue Sharing
- If the partnership involves monetization, both parties agree to mutually determine a revenue-sharing model, detailed in a subsequent addendum to this agreement.
Technical Integration
- Acadpia will provide APIs or other technical solutions to facilitate seamless content delivery to Mindsprint.
- Mindsprint will ensure data security and compliance with privacy regulations when accessing content via Acadpia’s APIs.
Exclusivity
- This agreement does not create an exclusive partnership unless explicitly stated. Both parties are free to collaborate with other organizations.
Intellectual Property
- Acadpia retains ownership of its original content.
- Mindsprint owns all user interface designs, summaries, and app-related materials developed for presenting Acadpia’s content.
Termination
- Either party may terminate this agreement with 30 days’ written notice.
- Upon termination, Mindsprint will remove all content sourced from Acadpia within 7 business days.

Responsibilities of Acadpia

Provide timely access to relevant and updated content.
Ensure the accuracy and quality of the provided materials.
Offer technical support for API integration or content delivery mechanisms.

Responsibilities of Mindsprint

Accurately attribute content to Acadpia in all published materials.
Maintain high editorial integrity when summarizing and curating Acadpia’s content.
Ensure the user experience of the app aligns with the goals of both parties.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of this partnership. This includes, but is not limited to, unpublished content, technical specifications, and business strategies.

Dispute Resolution

Any disputes arising from this agreement will be resolved through mutual discussion. If unresolved, disputes will be referred to arbitration in accordance with [Jurisdiction’s] laws.
